CADE clears United Health Group’s sale of Amil
The Office of the Superintendent General of CADE (SG/CADE) cleared the acquisition of Amil by a Brazilian investor, currently held by United Health Group.
Amil operates in the health and dental insurance plan sectors around Brazil for individual, family, or collective health insurance plans. The group is the owner of hospitals, medical centres (outpatient care units) for provision of medical services, in addition to accredited networks of doctors, hospitals, and laboratories, while the buyer works in the financial and real estate sectors.
According to the United Health Group, the transaction is to allow the divestiture of the Amil Group, a subsidiary of little impact in the operations across the world.
The SG stated that none of the firms that the buyer holds indirect share ownership to the Qsaúde Group are operating, and it does not own shares in other firms with activities in horizontal or vertical markets, related to those operating in the Amil Group. Thus, the transaction is a replacement of the economic agent and the SG decided to clear it without restrictions.
The transaction is also subject to the clearance of the agency for private health insurance (ANS).
The decision of the Office of the Superintendent General is regarded final, and the deal fully approved, if the authority's Tribunal does not request the case for adjudication or a third party does not appeal to the ruling within 15 days of its announcement.
